Katie Walker Interiors Inc. – Home Staging Services Agreement
This Agreement for Home Staging Services (the “Agreement”) is made between the property owner and/or the listing agent (the “Client”), and Katie Walker Interiors Inc., an Ontario-registered business operating as “Katie Walker Interiors” (the “Staging Company”).
1. Term
This Agreement is effective as of the Date of Installation (the “Staging Date”) and shall remain in effect for thirty (30) days (the “Term”), or until the Property sells—whichever occurs first (the “Term End Date”).
The Term may be extended in additional 30-day increments.
Upon the end of the Term, the Client agrees to release all staging items within 12 hours.
Additional days beyond the Term are subject to a daily rental fee.
Once a pickup is scheduled, the Staging Company reserves the right to retrieve items at any time beyond the Term, even if a later date was previously agreed upon.
A staging installation date is only confirmed upon receipt of the 50% deposit.
2. Description of Services
Subject to the terms of this Agreement, the Staging Company agrees to provide home staging services at the Property, including but not limited to the arrangement of furniture, accessories, and props rented by the Client for the purpose of preparing the Property for sale (“Staging Services”).
3. Payment
The Client agrees to pay the Staging Company the total agreed-upon fee (the “Payment”) for the Staging Services, including rental and delivery charges.
50% of the Payment is due 24 hours prior to the staging date and the remaining 50% is due upon completion of the staging.
All deposits are non-refundable.
Extensions & Late Payments
If services are extended beyond the initial 30-day Term, the applicable rental fees (excluding installation and delivery) will be charged via credit card, or paid via cash, cheque, or e-transfer at least four (4) days before the Term End Date.
If renewal payment is not received by this time, the amounts will be subject to interest and an automatic pickup will be scheduled on the next available business day at the sole discretion of Katie Walker Interiors Inc.
Client Approval
The Client must approve the staging within 24 hours of completion.
Any requests for revisions after the 24-hour approval window will incur delivery charges and the cost of any new or additional items added to the Property.
4. Late Payments & Interest Charges
Any outstanding balances that remain unpaid for more than thirty (30) days from the due date may, at the sole discretion of Katie Walker Interiors Inc., be subject to interest charges of 3% per month (compounded monthly), calculated from the original due date until payment is received in full.
Katie Walker Interiors Inc. reserves the right to apply these interest charges without prior notice.
Continued non-payment may result in collection actions, and the Client shall be responsible for any related legal or collection fees incurred.
5. Access
The Client is solely responsible for ensuring full access to the Property, including but not limited to service elevators, loading docks, parking, access codes, and keys, on both the Staging Date and the Term End Date.
The Client agrees to pay for any additional rental days caused by delays in access.
The Client authorizes the Staging Company, its employees, agents, contractors, and suppliers to access the Property for the purpose of providing the Staging Services.
If access is not granted on the agreed dates, resulting in delays to installation or pickup, cancellation fees may apply (see Section 11).
6. Personal Belongings
The Client is responsible for removing or securing all valuables prior to the Staging Date. The Staging Company is not liable for damage to any items left on the Property.
The Client agrees that the Staging Company may move, rearrange, or temporarily store any personal items, including inside cabinets, drawers, or closets, as deemed necessary for staging.
The Client acknowledges that nails, hooks, or other fasteners may be used to hang staging items.
If any items are not to be moved, the Client must inform the Staging Company in writing prior to the Staging Date.
Katie Walker Interiors is not responsible for damage to any personal items left on the Property.
7. Preparedness of the Installation Site
Contractors acting on behalf of the Staging Company are responsible only for handling staging rental items.
They will not move homeowner belongings unless explicitly agreed to in writing.
The Staging Company is not responsible for cleaning, decluttering, or arranging any personal property.
Client Responsibilities:
Prepare the installation site in advance and ensure:
Clear access to elevators and loading docks
Accessible parking for delivery vehicles
Functional access codes or keys
Any costs or deposits associated with access are the sole responsibility of the Client.
Failure to complete any recommended preparation may result in additional delivery fees or cancellation, at the discretion of the Staging Company.
8. Release & Waiver
Assumption of Risk
Client acknowledges that staging may involve minor damage such as nail holes in walls or scratches as the result of the staging process. The Staging Company may fill holes upon removal however painting or repairs are the Client’s responsibility.
Indemnification
The Client agrees to indemnify and hold harmless Katie Walker Interiors Inc. from any claims, damages,
losses, liabilities, costs, and expenses, including reasonable attornees fees, arising out of or related to
the work performed by third-party contractors engaged by the Client for the same project.
The Client acknowledges that while Katie Walker Interiors Inc. may provide recommendations for third-
party contractors, Katie Walker Interiors Inc. is not responsible for the actions, performance, or
outcomes of these contractors. The Client agrees to defend, indemnify, and hold Katie Walker Interiors
Inc. harmless from any and all claims or disputes arising from the actions, omissions, or negligence of
third-party contractors referred by Katie Walker Interiors Inc, including but not limited to:
-Defective workmanship or materials provided by third-party contractors.
-Delays in the project timeline caused by the actions of third-party contractors.
-Violations of applicable laws, regulations, or codes by third-party contractors.
The Client agrees to indemnify and hold harmless Katie Walker Interiors Inc. from any claims,
damages, losses, liabilities, costs, and expenses, including reasonable attorney's fees, arising out of
or related to defective materials provided by third-party retailers.
The Client further agrees to notify Katie Walker Interiors Inc. promptly of any claims or actions brought
against the Client related to the work of third-party contractors. Katie Walker Interiors Inc. shall have the
right to participate in the defense of any such claim, at the expense of Katie Walker Interiors Inc., with
counsel of their choice.
The indemnification provided herein shall survive the completion of the project and the termination of the
agreement between the Client and Katie Walker Interiors Inc.. The Clients obligation to indemnify Katie
Walker Interiors Inc. shall not be limited by any insurance coverage carried by Katie Walker Interiors Inc.
or any third-party contractor.
This indemnification clause is a material and integral part of the agreement between the Client and Katie
Walker Interiors Inc., and the parties acknowledge that the compensation and fees paid to Katie Walker
Interiors Inc. are based, in part, on the inclusion of this indemnification provision.
Limitation of Liability
In no event shall Katie Walker Interiors Inc. be liable to the Client for any indirect, incidental,
consequential, special, or punitive damages arising out of or related to this Agreement, including, but not
limited to, loss of revenue or anticipated profits, loss of business, loss of data, or sales, or cost of
substitute services, even if Katie Walker Interiors Inc. has been advised of the possibility of such damages.
Katie Walker Interiors Inc. total cumulative liability to the Client for any and all claims and damages under
this agreement, whether arising by statute, contract, tort, or otherwise, shall not exceed the total amount of
fees paid by the Client to Katie Walker Interiors Inc. under this agreement.
Disclaimer
Home staging is a marketing tool, not a guarantee of sale or property value. No warranties, expressed or implied, are made regarding outcomes.
9. Photography & Publicity Release
The Client grants permission to Katie Walker Interiors to photograph the staged areas before and after the installation.
Photographs may be used for marketing or portfolio purposes. The Client’s name and identifying details will not be disclosed.
10. Damages to Rental Property
The Client is responsible for any damage to rental furniture and decor during the rental period, including any extensions.
Staging items are for aesthetic purposes only and not intended for regular use.
Examples of Damage Include (but are not limited to):
Stains or liquid damage
Breakage or scratches
Upholstery tears
Odours or damage from pets
Burn marks or odours from smoking
Insect infestations
A credit card authorization may be required as a security deposit for potential damages. This may be used if alternate payment arrangements are not made.
11. Cancellation Fees
Cancellation requests must be made at least 48 hours in advance in order to be eligible for any form of refund.
All cancellations will incur a non-refundable cancellation fee of $999.
12. Insurance
The Client is encouraged to obtain or maintain personal property loss insurance to cover any unforeseen issues.
13. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of Ontario, Canada.
14. Attachments
Any attached invoice or quote forms part of this Agreement.
15. Property Ownership
The Client warrants that they are either the legal owner of the Property or the authorized listing agent, and have full authority to enter into this Agreement and grant the Staging Company access.
No further permissions are required to proceed with services.
